The Exact Sciences purchase closed 2026-03-23 at $105/share cash — roughly $21B in equity and about $23B enterprise value including ~$1.8B of assumed net debt — and carried approximately $0.20 of FY26 adjusted-EPS dilution. Stacked on a weak respiratory season and China volume-based procurement in Core Lab Diagnostics, that took the stock from a 52-week high of $137.49 to an intraday low of $81.97 on 2026-05-11 (close $82.56).

Two non-price conditions carry comparable weight. If the FY26 comparable range of 6.5%–7.5% is trimmed at the October report instead of reaffirmed, the second-half acceleration that justified the July move is gone and Q2's 4.8% becomes the run rate. If the 200-day at $108.35 is tested and rejected without a close through it while the shorter averages flatten, the life-cycle label moves from ACCELERATING to MATURING regardless of what the prints say.
A fresh adverse NEC verdict of material size, or a litigation reserve disclosed against MDL 3026, would reopen the discount the stock carried through May.
