The edge-AI re-rating is over and the exit was a bad one. On 2026-06-25 onsemi agreed to buy Synaptics in an all-stock deal at a fixed 1.350 ON shares per SYNA share roughly $160 implied at announcement, ~$7B, onsemi's largest acquisition. The market's verdict on the acquirer was brutal: ON fell about 19% that day, and it has kept sliding to $87.37 (2026-07-17). Because the exchange ratio is fixed and there is no cash component, SYNA holders are now simply long onsemi at 1.35x leverage minus a deal-risk discount. The arithmetic: 1.350 × $87.37 = $117.95 implied, against SYNA at $114.05 a 3.4% gross spread to a close guided for mid-2027, or roughly 3.7% annualized. That is a fixed-income return with equity break risk attached, and it is the entire remaining opportunity set. SYNA is 23% below its $149.11 high and 12% below where it traded on announcement day, and none of that decline had anything to do with Synaptics' own business. The standalone narrative Astra/Torq edge-AI silicon, the Google Coral tie-up shown at I/O on 2026-05-19, Core IoT +31% YoY was sold to a strategic buyer for paper that then de-rated. The chart is no longer Synaptics' chart. Since 2026-06-25 SYNA has traded as a near-perfect 1.35 beta to onsemi, and every technical level that mattered in the standalone era has been given up without a fight: the $140 pre-deal shelf broke in early July, the $133 early-June base went with it, and price closed at $114.05 on 2026-07-17 versus $122.84 on 2026-07-14 a 7% drawdown in three sessions driven entirely by ON. RSI, moving averages, and volume profile carry no information here; the only two inputs are ON's price and the probability of clearance. The ceiling is mechanical at 1.350 × ON. The floor is wherever the arb spread stops being 3–4% and starts being 10%+, which is the market's way of saying it doubts the close. Post-announcement, $110 is the shelf that has held; below it the discount to implied value widens past the range typical for a clean, well-financed strategic deal. There is no momentum setup to trade the price series has no independent variance left to exploit, and a fixed-ratio all-stock spread is the wrong instrument for a book that gets paid on trend persistence.

Catalyst Calendar (next 30 days)

  • 2026-08-03 onsemi Q2 2026 earnings. This is now the dominant SYNA catalyst: a move in ON translates 1:1.35 into SYNA's mark, and with the acquirer already down ~19% post-deal, a weak guide compounds the exchange-ratio problem.

A deal termination either side paying the $235M/$320M fee returns SYNA to a standalone story that no longer has sell-side sponsorship and a loss-making TTM P&L to defend.

The read stays what it is if nothing happens: a low-return, long-dated spread with a fat tail, which is not what a narrative-momentum book gets paid to hold.

SYNA's residual variance against onsemi is now close to zero owning it is owning ON with 1.35x notional and a termination-risk kicker. Any book already carrying analog/power semiconductor exposure gets a duplicated position, not a diversifying one.
